Worley and Councilman Chris Trout. Mayor John Mondy and Councilwoman Reta Allen were absent. Mayor Pro Tern,Joel Scott presided over the meeting. Consider and act upon approval of the supplemental agreement between East Texas Medical Center Emergency Medical Services and the City of Wylie for Paramedic Ambulance Services. Chief Shan English addressed this item and provided Council with a brief history of the agreement between East Texas Medical Center Emergency Medical Services (ETMC-EMS) and the City of Wylie. He provided an explanation of the modifications in the contract that involve the MICU Ambulance that ETMC-EMS has provided the City of Wylie. Chief English stated that in 2000, ETMC-EMS requested that Collin County approve a subsidy for ambulance coverage in Collin County and that the request initiated Collin County to request bids from several ambulance contractors. He explained that the conclusion of this bid process was a decision by Collin County to use a separate contractor and the ETMC-EMS' back-up ambulances in Farmersville and Princeton would be removed effective November 1, 2000. He stated that ETMC-EMS will be providing a second back-up ambulance that will be staffed and maintained by the Sachse Fire Department. There was some brief discussion regarding term of contract and the service currently provided by ETMC-EMS. Chief English explained that the contract references five (5) years, however, we have three (3) years remaining with an option to extend. He added that they have not had complaints from the service provided by ETMC-EMS and are happy with the service level provided. Hold a public hearing to consider and act upon approval of a request from Richard Parker for approval of a zone change from A (Agriculture) to I (Industrial) on property generally located at the southwest corner of FM 544 and Sanden Boulevard, and being all of a certain 34.412 acres out of the Duke Strickland Survey, Abstract 841 and the I. Clifton Survey, Abstract No. 193, City of Wylie, Collin County, Texas. ZC No. 2000-08 Mr. Claude Thompson addressed this item and provided Council a brief history of the request. He advised that the Planning and Zoning Commission has recommended denial without prejudice and that the applicant has withdrawn his application. He advised that there was no action necessary on Council's part,however, this was advertised as a public hearing. The Mayor Pro Tern then opened the public hearing asking that anyone wishing to speak either in favor or opposition of the request to come forward stating their name and address for the record and limiting their comments to three minutes. With no response, the Mayor Pro Tern then closed the Public Hearing and no further action by the Council was required. 2. Hold a public hearing to consider and act upon approval of a request from the Franklin Ovid Birmingham Memorial Land Trust for approval of a zone change from A (Agriculture) to I (Industrial) on property generally located at the northeast corner of Hooper Road and Hensley Lane, and being all of a certain 49.508 acre tract out of the L.K. Pegues Survey, Abstract No. 703, City of Wylie, Collin County, Texas. He advised that the Planning & Zoning Commission moved to table this request at their regular meeting of September 19, 2000 in order to allow the applicant an opportunity to discuss issues related to the hearing. He advised that staff has met with the neighborhood and the applicant is considering their comments. He stated that the item was not tabled to a specific date by the Commission and that there was no action necessary on Council's part, however,this was advertised as a public hearing. The Mayor Pro Tem then opened the public hearing asking that anyone wishing to speak either in favor or opposition of the request to come forward stating their name and address for the record and limiting their comments to three minutes. The Mayor Pro Tern asked that Mr. Taylor's comments during Citizens Participation are noted for Item No. 2. With no further response, the Mayor Pro Tern then closed the Public Hearing and no further action by the Council was required. 3. Consider and act upon approval for Work Order No. WYL-34A authorizing the Hogan Corporation to proceed with lift station, force main, and gravity sewer improvements along a route from the existing Rush Creek Lift Station to its proposed relocation site and from the proposed relocation site to the existing Twin Lakes Lift Station. Chris Hoisted, City Engineer addressed this item. Mr. Hoisted provided Council with a brief background of the project and the necessity for Work Order No. WYL-34A. Mr. Holsted explained tht on September 28, 1999, Council approved Work Order No. WYL-34 in the amount of $73,200 authorizing the Hogan Corporation to proceed with the design of a submersible pump style lift station, approximately 10,000 linear feet of 14 inch diameter force main, manholes, and related appurtenances for an estimated project construction cost of$850,000. Mr. Holsted explained that the original project scope included utilization of an existing abandoned mud line which runs parallel to Rush Creek from the site of the existing Rush Creek Lift Station on Stone Road to the vicinity of the proposed location of the new Rush Creek Lift Station anticipated to be located near Troy Road and Beaver Creek. However, engineering analysis concluded that use of the existing abandoned mud line is unfeasible due to its small size and deteriorated condition. Mr. Hoisted explained that the additional costs are associated with the gravity sewer and the additional four thousand feet of gravity sewer that was not anticipated. Presentation by F.Mason and Associates, a library consultant firm, retained by the City in April of this year to evaluate the long-range needs for library services. Ms. Mason provided Council with a detailed study of the requirements for a new library. She provided extensive information with regard to size, site and accommodations requirements to service the growing community. Ms. Mason stated at the conclusion that the information was conceptual only and that there are a number of options and strategies to provide future community needs. She stated that this project is in the planning and research stages and that if it were Council's desire to construct a new library, it would be a three to four year project. The Mayor Pro Tern convened into Executive Session at 8:28 p.m. in accordance with Chapter 551, Government Code, Vernon's Texas Code Annotated (Open Meeting Law), Section 551.072 Real Estate (200 Block of North Jackson Street)to deliberate the purchase, exchange, lease or value of real property; Section 551.071 Consultation with Attorney regarding City Attorney relationship with the City Council in which the duty of the attorney to the governmental body under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas clearly conflicts with this chapter, and Section 551.074 Personnel Matters to deliberate the evaluation of the City Attorney. Page 2 of 2 WYLIE CITY COUNCIL AGENDA ITEM NO. 1 October 24, 2000 Issue Consider and act upon approval for Work Order No. WYL-42 authorizing the Hogan Corporation to proceed with design of the utility relocations along FM 544 from FM 1378 to SH 78 and the water line replacement along Cooper Drive. Background The Texas Department of Transportation submitted plans adequate for utility relocations for the reconstruction of FM 544 from FM 1378 to SH 78. The TxDOT project is scheduled for a May 2001 letting and all utility adjustments must be completed at that time. The Hogan Corporation will identify the necessary lines to be relocated as part of the preliminary engineering phase, however, initial analysis indicates that at least one 12" water line crossing and approximately 1,400 linear feet of 8" water and sewer line may be in conflict with the proposed TxDOT improvements. The scope also includes design and construction phase services for the replacement of approximately 1,300 linear feet of 8" water line along Cooper Drive. The projected construction cost for the utility relocations along FM 544 is $256,500 assuming all the lines identified above are in conflict with the proposed TxDOT improvements. The projected construction cost for the Cooper Drive water line replacement is $115,250. Financial Considerations The 1999 Water and Sewer Revenue Bonds included $500,000 for miscellaneous utility relocations and replacements. The Cooper Drive water line replacement is budgeted for $125,000 in the FY2001 Utility Fund Budget. A summary of the engineering fee is shown below: Summary of Fees Design Phase Engineering 17,696 Bid Phase 2,221 Construction Phase 4,785 Total Fee $24,702 Cost for topographic surveys, boundary surveys, and geotechnical investigations are not included in the Engineer's fee and will be performed by others with the Engineer's assistance and coordination. Other Considerations The scope of the proposed services are to be performed in accordance with the applicable sections of the Agreement for Engineering Services by and between the City of Wylie, Texas (Owner), and the Hogan Corporation (Engineer), as approved on July 27, 1993. UTILITY RELOCATIONS ALONG FM 544 FROM FM 1378 TO COMMERCE DRIVE AND COOPER DRIVE WATER LINE REPLACEMENT A. PROJECT DESCRIPTION The Engineer shall perform Design and Construction Phase Services and such other related Additional Services that may be authorized by the Owner for the construction of the proposed water and wastewater line replacement. This project is comprised of approximately 1,400 linear feet of 8-inch diameter water main, 100 feet of 12" diameter water main, 1,400 feet of 8-inch diameter wastewater main, and related appurtenances as shown on the attached location map. It is mutually agreed that all improvements contemplated herein will be bid and constructed as a single contract. The services described herein are to be performed in accordance with the applicable sections of the Agreement for Engineering Services by and between the City of Wylie, Texas(Owner), and The Hogan Corporation(Engineer), as approved on July 27, 1993. B. PRE-WORK CONFERENCE The Engineer will meet with the Owner and other appropriate entities as/if needed to discuss the design criteria, work program and schedule, procedures of communication, additional surveys, assignments of personnel, and any other matters that may have a direct or indirect effect upon the completion and results of this project. -1- 10/06/00 C. DESIGN PHASE 1. Preliminary Planning a. Review existing conditions at the project site to identify areas of special concern in design and possible problems to resolve. b. Present recommended schematic layout, typical sections for the improvements. c. Determine right-of-way and/or construction easement requirements and procedures for acquisition,where required d. Review previous field work completed, and determine additional surveys required. e. Address other considerations of the project, such as utility relocations, adjustments or replacements, and note locations where conflicts may occur. f. Proceed,upon direction of the Owner,with the Design Phase services of the selected plan. 2. Preliminary Design a. Reduce and plot field notes of profile,cross-sections, and topography. b. Confirm existing and future utility (water, sewer, drainage, gas, cable, TV, telephone, electric)locations,based on data furnished by utilities. c. Set preliminary alignments and locations for the proposed water and wastewater lines. d. Coordinate preliminary layout of improvements with the City of Wylie, property owners, and utility companies. e. Field-check preliminary design. f. Present preliminary design drawings with preliminary cost projections to the Owner for review and comment. 4. Final Plans and Specifications a. Draft plan sheets to conform with final comments of the Owner from preliminary design review. b. Prepare final details. -2- 10/06/00 c. Prepare quantity of materials. d. Prepare final bid schedule, special conditions, specifications, proposal, and contract documents. e. Prepare projected cost of construction. f. Submit one(1) set of prints of the final plans and specifications to the utility companies for review and comment. g. Present two (2) copies of plans and specifications to the Owner for final approval and authorization to proceed with the Construction Phase. D. CONSTRUCTION PHASE 1. Advertise and Receive Bids a. Coordinate the final printing of the construction plans and specifications for distribution to the proposed bidders. b. Notify individual qualified contractors of the project, and contact the Texas Contractor and Dodge Reports for publishing the description of the project and date for receiving bids. c. Assist the Owner in securing, opening, tabulating, and analyzing of bids. The Engineer will furnish recommendations on the award of the contract based on the lowest qualified bidder. d. Assist in the engineering phases of the preparation of the formal contract documents between the contractor and the Owner. 2. General Review of Construction a. Conduct a preconstruction meeting on site with representatives of the Contractor and OWNER. b. Make periodic visits to the site (as distinguished from the continuous services of a resident project representative) to observe the overall progress and quality of the work, and to determine general conformance with the requirements of the contract. c. Consult and advise with the Owner during construction, make recommendations to the Owner regarding the materials and workmanship, and prepare change orders with Owner's approval. -3- 10/06/00 d. Check and review samples, catalog data, schedules, shop drawings, laboratory, shop and mill tests of material and equipment and other data which the contractor is required to submit for conformance with the design concept of the Project and compliance with the information given by the contract documents, and assemble written guarantees which are required by the contract documents. e. Assist the Owner in arranging for testing of materials and laboratory control during construction to be conducted at the Owner's expense and interpret the results of such tests. f. Interpret intent of the plans and specifications for the Owner and contractor(s). g. Review and comment on monthly and final estimates for payment to contractor(s). h. Conduct in company with the Owner's representative a final inspection of the Project for conformance with the design concept of the Project and compliance with the contract documents, and review and comment on the certificate of completion and the recommendation for final payment to the contractor(s). i. Prepare revisions of construction drawings with the assistance of the Owner's Project personnel and the construction contractor(s) reflecting changes in the Project made during construction. These "Record Drawings" shall be provided by the Engineer to the Owner as one set of reproducible sheets and two sets of prints. E. ADDITIONAL SERVICES It is mutually understood that the following services are not included in the Engineer's basic services described above, and if the Owner elects for the Engineer to provide such services, they are to be considered as"Additional Services"and will be compensated for accordingly. 1. The Owner will contract directly with a Registered Professional Land Surveyor (RPLS) for performing design and topographic surveys and any necessary land or boundary surveys for site or easement acquisitions. 2. It is anticipated that the Owner will furnish a full time Resident Project Representative to observe the construction work on a day-to-day basis and to give any necessary directives to the construction contractors. 3. Representatives of the Owner will prepare deed, easement dedication, and/or permit forms for properties, easements,or permits to be acquired and will need to take necessary steps for those acquisitions in a timely manner. -4- 10/06/00 4. Provide consultation and advise as to the necessity of the Owner providing or obtaining other services such as auger borings, soil tests, or other subsurface explorations; laboratory testing and observation of samples or materials; environmental reviews or assessments; or other special consultations. The Owner will contract directly with qualified Geotechnical Engineering, Materials Testing, or Environmental Consulting firms as required. The Engineer will review any tests required and act as the Owner's representative in connection with any such services. F. RESPONSIBILITY OF THE OWNER Unless otherwise authorized in writing by the Owner for the Engineer to perform such other additional or special services,the Owner shall be responsible for the following services: 1. Provide the Engineer the assistance needed for collecting data from Owner's records for the design of the water system improvements. The acceptance and use of the data furnished by the Owner to the Engineer shall not operate to impose any obligation upon the Engineer to determine that the data is true, accurate, complete, or correct. 2. Provide the services of a qualified surveyor to furnish the necessary field data for the design of the proposed improvements. 3. Prepare applications for routine permits required by government and regulatory agencies. 4. Arrange for and coordinate the subcontract services of a Geotechnical Consultant for the soils investigation, as may be required. Also, the Geotechnical Consultant will investigate the soil conditions and recommend the requirements for preparing a trench safety program. 5. Authorize the Engineer to print, collate, and assemble an agreed number of plans, specifications,and bidding documents for distribution to prospective bidders. 6. Provide qualified personnel for daily observation of construction. 7. Furnish and coordinate qualified personnel to perform the field layout and staking for construction in accordance with the contractor's sequence of work to be accomplished. 8. Prepare daily reports of construction activities, with copies of reports furnished to the Engineer. If needed, daily report forms will be furnished to the Owner by the Engineer. -5- 10/06/00 9. Advise Engineer by telephone, on a weekly basis, of the progress of work,problems encountered in construction, quality of work performed, and other matters concerning the project status. 10. Confirm the percentage of completion for work performed, as submitted by the contractor,during each month. 11. Furnish the local news media with Notice to Bidders and coordinate the appropriate times that the notice is to appear prior to the bid opening date. G. BASIS OF COMPENSATION 1. Availability of Funds The Owner agrees that funds, to the extent required, are currently available and sufficient to complete all phases of the proposed engineering services authorized under this Proposal. All invoices submitted by the Engineer and approved by the Owner shall be paid within thirty(30)days of the invoice date. For any payments not made within thirty (30) days, a charge will be made monthly in the amount of one and one-half percent (1-1/2%) of the unpaid balance, beginning thirty(30)days from the date of the statement. 2. Design Phase a. Engineering The Owner shall make payments to the Engineer for performing the engineering services described in the Design Phase on a monthly billing basis in proportion to that part of the services proposed herein which has been accomplished, as evidenced by monthly statements submitted by the Engineer and approved by the Owner. Final payment shall be due upon completion of these services. The compensation for the engineering design services performed shall be based on a lump sum amount of$17,696.00. b. Additional Services For Design Phase For performing any Additional Services for the Design Phase, the Engineer will assist the Owner, as directed, and is to be paid on a monthly billing basis at a per diem rate of the personnel's salary cost times a multiplier of 2.5. The Engineer is to be reimbursed for all direct non-labor, field surveys, -6- 10/06/00 and other subcontract expenses at the invoice cost plus 10 per cent for coordination and handling. 3. Construction Phase a. Advertise and Receive Bids For performing these Construction Phase services,the Engineer is to be paid on a monthly billing basis in proportion to the services proposed herein which has been accomplished, as evidence by the monthly statements submitted by the Engineer and approved by the Owner. Final payment shall be due upon completion of these services. The total compensation for the services performed shall be based on a per diem rate not to exceed the amount of$2,221.00. b. General Review of Construction For performing the General Review of Construction, the Engineer is to be paid on a monthly billing basis at a per diem rate of the personnel's salary cost times a multiplier of 2.5,with reimbursement of all direct non-labor and subcontract expenses at the invoice cost plus 10 per cent for coordination and handling. Total compensation for the above services will not exceed$4,785.00. c. Additional Services For Construction Phase For performing any Additional Services For Construction Phase, the Engineer is to be paid on a monthly billing basis at a per diem rate of the personnel's salary cost times a multiplier of 2.5, with reimbursement of all direct non-labor and subcontract expenses at the invoice cost plus 10 per cent for coordination and handling. 4. Other Special Services-(As Directed By The Owner) If authorized in writing by the Owner, the Engineer shall furnish other services or tasks in addition to the scope of services proposed herein. Background The existing alleys (800 linear feet between Ballard Avenue and Jackson Street from Oak Street to Jefferson Street and 400 linear feet between Ballard Avenue and First Street from Oak Street to Marble Street) have been identified as Miscellaneous Alley Improvements Project P7 in the 1999 Bond Program. The alley surfaces are deteriorated and need to be reconstructed. The existing wastewater lines in the respective alleys have been inspected and are deteriorated and have been identified as a source of inflow and infiltration into the sewer system. The proposed project includes replacement of approximately 1,200 linear feet of eight-inch wastewater line, installation of manholes, service connections, related appurtenances, and concrete reconstruction of both alleys. The water lines in each alley have previously been replaced and are currently in good condition and do not require replacement at this time. The estimated construction cost for the proposed project is $295,000. During the Preliminary Design Phase, the consultant will: • Perform topographic surveys and locate existing property corners along the limits of the project; • Locate existing city and franchise utilities with assistance from City staff along the limits of the project; and • Provide preliminary cross sections and plan and profile sheets for both alleys and the sanitary sewer to City staff for review and discussion. During the Final Design phase, the consultant will: • Develop a final construction cost estimate; • Provide copies of temporary construction easements as necessary for the project; and • Provide copies of plans, specifications, and construction documents. During the Bid Phase of the project, the consultant will: • Assist the City in advertising the project by distributing the Notice to Contractors to qualified contractors; • Attend the bid opening; and • Provide a bid tabulation. As part of the Construction Phase, the consultant will: • Attend and participate in a preconstruction conference; • Review shop drawings and material test information; • Assist in the preparation of monthly pay requests and routine change orders; and • Provide one set of as-built drawings. Financial Considerations The concrete portion of the project has been funded for $145,000 in the 1999 Street Bond Program. The first alley is about 800 feet long and located in between Ballard Avenue and Jackson Street from Oak Street to Jefferson Street. The second alley is about 400 feet long and located in between Ballard Avenue and First Street from Oak Street to Marble Street. The scope of services will include the following: Alley Reconstruction Preliminary Design Phase 1. Obtain copies of abstracts and surveys along with deeds for properties along the limit of the project as available from the Collin County Land Records office in McKinney,Texas. 2. Perform topographic surveys and locate existing property corners along the limits of the project. 3. Locate existing city and franchise utilities with assistance from City staff along the limit of the project. 4. Provide three(3) sets of preliminary cross sections and plan and profile sheets for both alleys and the sanitary sewer to the City for review and discussion. 5. Review and discuss preliminary plans with City staff. Final Design Phase 1. Provide an engineer's opinion of probable construction cost for the project based on recent projects of a similar nature. 2. Provide three (3)copies each of temporary construction easements as necessary for the project. The engineering cost budget for this project includes funds for up to six temporary construction easements. 3. Background Drainage improvement to the Rustic Oaks Channel was previously approved as part of the 1999 Bond Program and identified as project D6. The existing channel was lined with ripp rapp several years ago to alleviate occurrence of erosion during heavy rain events. The scope of the proposed services includes engineering services to prepare construction documents for the reconstruction of approximately 2,300 linear feet of drainage channel from FM 3412 (West Brown Street) to Fleming Street. The project would include the assessment of the drainage capacity of the channel, and assessment of improvements to convert the channel to a greenbelt area that could include walkways and underground drainage pipe. Consideration will also be given to installation of an underground storm drain system to carry low flow drainage underground and to leave open, earthen-lined channel above storm drains to provide additional capacity for large rainfall events. The total project budget is $450,000. Financial Considerations The Rustic Oaks Channel project is included in the 1999 Drainage Bonds and is funded for $450,000. The terms of this Agreement shall be administered on behalf of the City by its City Engineer or his designated representative. WITNESSETH: The CITY hereby contracts for the services of ENGINEER to prepare construction plans, specifications, details, and special provisions for: 2300 linear feet of channel reconstruction along Rustic Trail from FM 3412 to Fleming Street, located in the City of Wylie, Collin County,Texas,hereinafter called the "PROJECT". I. EMPLOYMENT OF THE ENGINEER The City agrees to retain the Engineer, and the Engineer agrees to perform professional engineering services in connection with the Project as set forth in the paragraphs following; and the City agrees to pay, and the Engineer agrees to accept fees as specified in the paragraphs following as full and final compensation for the work accomplished. II. SCOPE OF SERVICES The scope of the work is set forth in Exhibit A, attached to and made part of this Contract. Deviations from the scope of work may be authorized from time to time by the City by written authorization. I. SCHEDULE OF WORK The Engineer agrees to begin work immediately upon execution of this Contract and to proceed diligently with said work to completion, as described in Exhibit B, attached hereto. IV. COMPENSATION AND METHOD OF PAYMENT Payment to the Engineer for services rendered will be made monthly based upon the Engineer's monthly progress report and itemized and certified statements on an invoice form that is acceptable to the City, detailed to show the names of employees, time worked, actual work performed and actual rates. Monthly statements should include authorized non-salary expenses with supporting itemized invoices and shall be submitted to the City on or about the fifteenth(15) day of each month. Compensation for the services of the Engineer will be as set forth in Exhibit C, attached hereto. The itemized and certified statements shall show the total amount earned to the date of submission and the amount due and payable as of the date of the current statement. Final payment of any money due shall be made to the Engineer after satisfactory completion of all services and obligations covered in this contract, including acceptance of design by the City, and submittal of as-built drawings. V. INFORMATION TO BE PROVIDED BY THE CITY The City agrees to furnish the information set forth in Exhibit D, attached to and made a part of this Agreement,prior to the Engineer's beginning work. VI. PROGRESS REPORTS The Engineer shall submit monthly progress reports and attend monthly progress meetings scheduled by the City. Each report shall outline work accomplished and special problems or delays encountered on the Project during the previous report period, and the planned work activities and special problems or delays anticipated for the next report period. VII. INSURANCE The Engineer agrees to furnish, if requested by the City, a certificate reflecting Engineer's Workman's Compensation and Employer's Liability Insurance for bodily injury and property damage in amounts satisfactory to the City, and agrees that such coverages shall be maintained during the term of this Contract. The Engineer shall be responsible for determining that its subcontractors, where permitted, likewise carry and maintain adequate insurance coverages. VIII. LIABILITY The Engineer will and does hereby agree to indemnify and hold harmless the City from any and all damages, loss or liability of any kind whatsoever, by reason of injury to third persons occasioned by any negligent act, error or omission of the Engineer, its agents, employees for other person from whom the Engineer is legally liable, in rendering or failing to render professional services with regard to the performance of this Agreement. The Engineer will, at his cost and expense, defend and protect the City against any and all such claims and demand arising out of negligent performance of the Engineer, its agents, employees or other persons for whom the Engineer is legally liable, in connection with work performed under this Agreement. IX. INDEPENDENT CONTRACTOR In the performance of work or services hereunder, the Engineer shall be deemed an independent contractor, and any of its employees performing work required hereunder shall be deemed solely employees of the Engineer,or its subcontractors where permitted. X. SUBCONTRACTS In fulfilling its duties pursuant to this Contract, the Engineer may subcontract to individuals, corporations, organizations, governments or governmental subdivisions or agencies, partnerships, associations or other legal entities. Such subcontracts will be entered into only with written approval from the City. XI. TRANSFER OF INTEREST Neither the City nor the Engineer may assign or transfer their individual interests in the Contract without the written consent of the other party. The City and the Engineer each binds itself and its successors and assigns to the other party with respect to all covenants of this Contract. Nothing herein is to be construed as creating a personal liability on the part of any officer or agent of the City. Page 2 XII. AUDITS AND RECORDS At any time during normal business hours and as often as the City may deem necessary, the Engineer shall make available to representatives of the City for examination all of its records with respect to all matters covered by the Contract and will permit representatives of the City to audit, examine and make excerpts or transcripts from such records and to make audits of all contracts, invoices,materials,payrolls,records of personnel, conditions of employment and other data relating to all matters covered by this Contract, for a period of one (1)year from the date of final settlement or for such other or longer period, if any, as is required by applicable statute or lawful requirements. XIII. EQUAL EMPLOYMENT OPPORTUNITY The Engineer shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Engineer shall take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the following: Employment, upgrading, demotions or transfers, recruitment or recruitment advertising; layoffs or terminations; selection for training, including apprenticeships; and participation in recreational activities. The Engineer agrees to post in conspicuous places, available to employees and applicants for employment,notices to be provided setting forth the provisions of this non- discrimination clause. The Engineer will, in all solicitations or advertisements for employees placed by or on behalf of the Engineer, state that all qualified applicants will receive consideration for employment without regard to race, color, religion, sex or national origin. The Engineer will cause the foregoing provisions to be inserted in all subcontracts for any work covered by the Contract so that such provision will be binding upon each subcontractor, excepting that the foregoing provisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials. The Engineer shall keep such records and submit such reports concerning the racial and ethnic origin(s) of applicants for employment and employees as the law may require. The Engineer agrees to comply with such rules, regulations, or guidelines as may be issued to implement these requirements. XIV. CONTRACT TERMINATION Either party may terminate this Contract upon giving written notice to the other party at least thirty (30) days prior to the date of termination. In the event of termination, the Engineer shall deliver to the City all finished or unfinished documents, data, studies, surveys, drawings, maps, models, reports, photographs, etc., prepared by the Engineer under this Contract. The Engineer shall be entitled to receive just and equitable compensation for any work satisfactorily performed in accordance with the provisions of this agreement prior to termination. XV. COST ESTIMATES Cost estimates prepared by the Engineer represent its best judgement as a design professional familiar with the construction industry. It is recognized, however, that the Engineer has no control over the cost of labor, materials, or equipment, over the Contractor's method of determining bid process, or over competitive bidding or market conditions. Accordingly, the Engineer cannot and does not guarantee that bids will not vary from estimates prepared by him. Page 3 XVI. OWNERSHIP OF DOCUMENTS All documents, including original drawings, estimates, specifications, field notes and data are and shall remain the property of the Engineer. The Engineer will provide a complete set of 24"x 36" 3 mil reproducible Mylars of the completed drawings plus a 3-'/2" disk or compact disk containing all construction plan sheets in a dwg format to the City at no additional cost to the City. XVII. SPECIAL PROVISION This instrument contains the entire Agreement between the City and the Engineer, except as additionally stated in Exhibits A and B. XVIII. RIGHT-OF-ACCESS The City will furnish right-of-access on the land for the Engineer to perform the required surveys, or other necessary investigations. The Engineer will take reasonable precautions to minimize damage to the land in the performance of such surveys and investigations. The City will explain to landowners that some damage to vegetation may be unavoidable when obtaining access to the site, and in performance of survey activities. XIX. MAILING ADDRESSES All notices and communications under this Contract to be mailed or delivered to the City shall be sent to the address of the City as follows, unless and until the Engineer is otherwise notified.
