CALL TO ORDER
Announce the presence of a Quorum
President Marvin Fuller called the meeting to order at 6:34 a.m. Board Members present were Mitch
Herzog, John Yeager, Demond Dawkins and Todd Wintters.
Ex-officio Member City Manager Mindy Manson was present.
WEDC staff present was Executive Director Sam Satterwhite, Assistant Director Jason Greiner, and Sr.
Assistant Angel Wygant.
CITIZEN PARTICIPATION
Lynn Grimes was in attendance and informed the Board that The Wylie Art Gallery would be hosting a
reception on Saturday,February 20th from 1 —3 pm for students who participated in the Wylie ISD PTSA
Reflections Art Program. In addition, she informed the Board that RaceTrac continues to be No. 1 for
6K stores with in-store sales exceeding $100,000 per month.
ACTION ITEMS
ITEM NO. 1 — Consider and act upon approval of the January 22, 2016 Minutes of the Wylie
Economic Development Corporation (WEDC) Board of Directors Meeting.
MOTION: A motion was made by Mitch Herzog and seconded by
Todd Wintters to approve the January 22, 2016 Minutes of the Wylie Economic
Development Corporation. The WEDC Board voted 5 —FOR and 0 —AGAINST
in favor of the motion.
ITEM NO. 2—Consider and act upon approval of the January 2016 WEDC Treasurer's Report.
MOTION: A motion was made by Mitch Herzog and seconded by Todd Wintters to approve
the January 2016 WEDC Treasurer's report. The WEDC Board voted 5—FOR and
0—AGAINST in favor of the motion.
ITEM NO. 3— {Remove from Table} Consider and act upon a Performance Agreement between
the WEDC and Fruediger Holdings,LLC.
MOTION: A motion was made by John Yeager and seconded by Todd Wintters to Remove Item from

D/FW Electric (Fruediger Holdings, LLC)initially came to the WEDC in an attempt to evaluate options
for either acquiring property in Wylie or a similar property in Rowlett to house their expanding
operations which were previously housed in 15,000 square feet on Kristen Court. Following an oral
commitment by WEDC staff for assistance, D/FW closed on the property and staff is presenting the
attached Performance Agreement for the Board's review.
The property in Wylie was previously owned by Rushin Truss and was comprised of 20,000 square feet
of warehouse and 1,800 square feet of office. D/FW will be converting 5,500 square feet of warehouse
into office at a cost of not less than$250,000. In presenting this project previously,the Board was more
interested in retaining the 75 existing jobs than a$250,000 investment in expanded office space. D/FW
also indicated that the increased office space will allow the company to meet a significant need to expand
their office staff by no less than 10 people.
The attached Agreement proposes a total maximum incentive of $70,000 which is broken down as
follows:
Incentive No. 1 a $15,000
➢ 5,500 sq ft office space added at a minimum cost of$250,000
Incentive No. lb $25,000
> Confirmation of no less than 75 existing employees
Incentive No. 2 $30,000
> Confirmation of no less than 10 additional employees
Should D/FW fail to meet the Performance Measures for either Incentive No. 1a or 1b, the entire
Performance Agreement is voided in advance. Further, should D/FW fail to add ten additional
employees as called for within Section II c, no partial incentive payment will be provided to D/FW.
Staff recommended that the WEDC Board of Directors approve a Performance Agreement between the
WEDC and Fruediger Holdings, LLC providing for a maximum cumulative incentive of$70,000 and
further authorizing the WEDC Executive Director to execute said Agreement.
The Board directed staff to include language specifying that the 10 new employees needed to be `full-
time' employees and that appraised value on the real property be no less than $835,000.
MOTION: A motion was made by John Yeager and seconded by Demond Dawkins to approve
a Performance Agreement between the WEDC and Fruediger Holdings, LLC, as
amended, providing for a maximum cumulative incentive of$70,000 and further
authorizing the WEDC Executive Director to execute said Agreement. The WEDC
Board voted 5 —FOR and 0—AGAINST in favor of the motion.
ITEM NO. 4 - Consider and act upon a Performance Agreement between WEDC and Ascend
Custom Extrusions,LLC
Attached for the Board's review was a Performance Agreement between the WEDC and Ascend which
was executed on December 20,2013. In order to qualify for the 3rd incentive payment of$24,000 Ascend
must provide documentation to the WEDC of the installation and operation of a 3rd extrusion press at the

Project with a purchase price (plus installation cost) of not less than $4,500,000. Qualifying
documentation was provided on January 31, 2015.
The final payment under this agreement, in the amount of$24,000, is scheduled for February 1, 2017.
Being that Ascend was not in default under the terms of the Performance Agreement,staff recommended
that the WEDC Board of Directors approve an incentive payment of $24,000 to Ascend Custom
Extrusions, LLC.
MOTION: A motion was made by Todd Winners and seconded by John Yeager to approve an
incentive payment of$24,000 to Ascend Custom Extrusions, LLC per the terms of
the Performance Agreement between the WEDC and Ascend. The WEDC Board
voted 5 —FOR and 0—AGAINST in favor of the motion.
ITEM NO. 5 — Consider and act upon issues surrounding a WEDC Business Retention &
Expansion Program.
Jason Greiner presented The WEDC Business Retention and Expansion (BRE) program focusing on
BRE Strategy, Overview, and Action Plan. With this renewed focus, WEDC will be better equipped to
encourage the growth and expansion of Wylie companies through personal interviews and a variety of
programs. The BRE interviews will be conducted by the WEDC Team, but primarily the Assistant
Director and Executive Director will be responsible for ensuring the future success of the program.
The primary goal is to develop,maintain and strengthen relationships with the CEOs and plant managers
of our existing businesses and industry to assist with the continued growth and expansion of Wylie's
industrial and commercial sectors. A secondary strategy of internal business development (BRE) is to
identify new target companies that are excellent candidates for recruitment that may be referred to us by
existing businesses.
During personal interviews and a variety of other meetings, staff will gather intelligence and input data
into WEDC's custom database. This unique CRM (Customer Relationship Management database)will
allow staff to update company specific information, identify talent/workforce needs, expansion
opportunities, infrastructure needs, barriers to growth, the state of the particular industry and strengthen
relationships with community partners through referral of services. The BRE Program will help identify
and address any other needs or concerns companies may have.
Moving forward, Greiner identified the following tasks/benchmarks which will take place moving
forward:
• Redefine WEDC's BRE Strategy by developing a BRE Overview and Action Plan
• Acquire licensing for a custom database/CRM. The Salesforce platform is easy to use and
allows for integration with our BRE program
• Attend the International Economic Development Council's Business Retention
Expansion course in April 2016
• Design, test, and launch the program by April 30, 2016
• Provide initial feedback for the FY15-16 WEDC Annual Report

Staff recommended that the WEDC Board of Directors approve the acquisition of Salesforce licensing
in the amount of$2,556.45.
MOTION: A motion was made by Todd Wintters and seconded by Demond Dawkins to
approve the acquisition of Salesforce licensing in the amount of$2,556.45. The
WEDC Board voted 5 —FOR and 0—AGAINST in favor of the motion.
DISCUSSION ITEMS
ITEM NO. 6 - Staff report: review issues surrounding Performance Agreements between the WEDC
and: Woodbridge Crossing, Ascend Custom Extrusions, CSD Woodbridge, Exco Tooling Solutions,
Von Runnen Holdings, All State Fire, 605 Commerce/W&M Environmental, 106 N. Birmingham,
Expiring Terms for Board Members,Mann Made/Linduff Real Estate Transactions, sporting events, and
regional housing starts.
Woodbridge Crossing
Attached for the Board's review was the Sales Tax Reimbursement Report which identifies all sales
taxes received through January 2016 within Woodbridge Crossing for the City General Fund,the WEDC,
and the 4B. As a reminder, the City and WEDC reimbursed 85% of all sales tax generated within
Woodbridge Crossing through September 2013 with the reimbursement percentage reduced to 65%
thereafter. Due to the default under the Amended and Restated Performance Agreement, Woodbridge
Crossing is only eligible to receive up to $6 million in sales tax reimbursement through September 2021
as opposed to the maximum reimbursement of$12 million originally contemplated.
$3,320,133.44 in reimbursement has been earned through January 2016 with net receipts of
$2,511,667.94 after reimbursements. As well, it is estimated that $3.5 mm has been paid in ad valorem
taxes to the City of Wylie (excluding the WISD).
As shown on the Sales Tax Reimbursement Report, $126,607.23 was generated in sales tax in November
2015 versus $124,877.73 in November 2014. This increase represents a 1.4% gain over 2014 receipts.
Ascend Performance Agreement
With the 2012 Performance Agreement completed, a second Performance Agreement executed in
December 2013 is the last commitment between the parties. Payment #3 of 4 is being considered
currently with the remaining Performance Obligations attached for your review.
CSD Woodbridge Performance Agreement
On July 15, 2013 a certificate of occupancy (CO) was issued for Kroger Marketplace. Beginning
October 1, 2013 and ending October 1, 2023, Clark Street Development is eligible to receive a %2 cent
sales tax reimbursement from the WEDC(City of Wylie not part of sales tax reimbursement agreement).
Quarterly payments will be made to Clark Street based upon the data provided by the Comptroller. In
addition to the $100,000 reimbursement incentive paid by the WEDC at CO, Clark Street is eligible to
receive cumulative incentives of$1,100,000 over the life of the Agreement.

Along with a summary of the Performance Agreement,a Sales Tax Reimbursement Report was included
for the Board's review.
Exco Tooling Solutions
Exco has completed construction of its 30,000 square foot facility within Premier Business Park,moved
the majority of equipment, and received a temporary Certificate of Occupancy. Staff is waiting to fund
Incentive Payment No. 1 upon the issuance of a Final CO. An additional $80,000 will be funded over
the next four years in payments of$20,000 each.
Exco has experienced challenges with the installation of their new age oven and is still utilizing the old
age oven located at their Highway 78 location. Staff has agreed to extend their lease of the 78 property
until February 18th at no cost to accommodate their use of the age oven. Exco has agreed to leave the
utilities on for an approximate two week period to allow PD to use the building for SWAT training.
Von Runnen Holdings
Von Runnen has completed construction of their facility with Incentive payment No. 1 of$20,000 being
issued. Should there be any Board member interested in touring the new facility, please contact staff.
All State Fire Equipment
All State Fire Equipment was issued a building permit on July 2, 2015 and held their Ground-Breaking
ceremony on September 18,2015. Work is progressing well and ASFE appears to be on track to receive
a Certificate of Occupancy by the August 1, 2016 as required in their Performance Agreement. A final
inspection has been scheduled with the issuance of a Temporary CO being imminent.
605 Commerce/W&M Environmental
Attached for the Board's review was a spreadsheet tracking all activities with W&M Environmental for
FY 2014-15 and FY 2015-16. W&M has prepared Phase I&II reports for Mann Made,K&M,Business
Way, is processing the VCP application for the Commerce property, and processing the Municipal
Setting Designation through the City.
106 N. Birmingham
Staff has come to terms with Wylie Glass to lease the K&M building. Wylie Glass will be contracting
with an electrician to bring the building up to code and will also be upgrading the exterior of the building.
Expiring Terms for Board Members
Terms for Board Members Fuller and Herzog will expire in July 2016. Applications were made available
at the meeting for those Board Members wishing to be considered for reappointment.

Mann Made/Linduff Real Estate Transactions
As reported via email the real estate transaction between the Edge family and the WEDC has been
finalized. Pulliam Construction Management has been paid in full and lien releases have been secured
from all contractors working on the job.
Sporting Events
Attached for the Board's review was the Promotional Activities Report which specifically details
attendees at Dallas Mavericks games.
Regional Housing Starts
Nine homes were permitted in Wylie for January 2016. Sachse, Lavon, and Murphy permitted a
combined thirty homes over the same period.
No action is requested by staff for this item.

From the Balance Sheet,page 1:
Deposits - $2,000. This amount reflects a deposit WEDC paid to Wylie Industrial Court for the
current location of the WEDC office in the amount of$2,000.
Loan Receivable - $68,386.1. This represents the balance of the Wylie Ice Cream Holdings note,
which is reduced by the principal paid each month. There was a starting balance of$93,950 as of
December 2012. Wylie Ice Cream Holdings has 47 payments remaining with a balloon payment
of$33,248.44 due on 12-15-19.
Account Rec — Forgivable Loans - $533,333.33. The figure above includes the remaining
balance of The Wedge loan in the amount of$183,333.33. Assuming The Wedge remains in
compliance with their Performance Agreement, forgiveness of the remaining loan balance will be
made in 2 additional payments in the amount of $91,666.67 on 12/31/16 and $91,666.66 on
12/31/17. The figure above also includes the loan made to Exco Extrusion Dies in the amount of
$350,000. Assuming Exco remains in compliance with the terms of the Performance Agreement,
this loan will be forgiven in 5 equal amounts of$70,000 beginning on the one year anniversary of
their Certificate of Occupancy(CO).
Deferred Outflows - $580,500. This is a total of incentive payments which are due in the future.

Insurance — This account is 31% over-budget due to the unanticipated costs associated with
Business Way. The insurance for Business Way was cancelled following the sale of this property
and we have added this property to our policy with the City. The cost for the remaining fiscal
year is working with the City to determine the costs associated with insuring 398 S. Hwy 78.
Once all those costs have been determined, we will request a budget transfer amendment to
account for the overage.

Issue
Consider and act upon issues surrounding a Real Estate Sales Contract between the WEDC and
First Baptist Church of Wylie for the purchase of 0.198 acre located at 111 North Ballard Street,
Wylie, Texas.
Analysis
On 3-10-16 Lawyers Title accepted an executed contract between the WEDC and FBC Wylie for
the purchase of a vacant lot located at 111 North Ballard Street, adjacent to Boyd Recording
Studio.
The purchase price is $150,000 with the WEDC paying for a survey and 50% of the title policy.
Staff has hired W&M Environmental Consultants to perform a Phase I on the site which will be
completed within the next two weeks. The feasibility period expires on 5-6-16 with closing set
for 6-6-16.
Staff will provide an update on the Phase I Environmental Report at the April Board Meeting.
Staff Recommendation
Staff recommends that the WEDC Board of Directors ratify the Real Estate Sales Contract
between the WEDC and First Baptist Church of Wylie for the purchase of 0.198 acre located at
111 North Ballard Street.

REAL ESTATE SALES CONTRACT

COUNTY OF COLLIN
THIS REAL ESTATE SALES CONTRACT (this "Contract") is made by and between
FIRST BAPTIST CHURCH OF WYLIE, 100 N. First Street, Wylie, Texas 75098 ("Seller"),
and WYLIE ECONOMIC DEVELOPMENT CORPORATION, 250 South Highway 78,
Wylie,Texas 75098 ("Purchaser"),upon the terms and conditions set forth herein.
ARTICLE I
1.01. Seller hereby sells and agrees to convey by Special Warranty Deed (the "Deed"),
and Purchaser hereby purchases and agrees to pay for, that certain real estate, and any
improvements located thereon,being approximately 0.198 acre,more or less, of property located
at 111 N. Ballard Street, Wylie, Texas, or more specifically identified as Railroad Addition,
Block 19,Lot 4 & 5, City of Wylie, Collin County, Texas, which property is generally described
in the attached as Exhibit A(the"Property").
Seller also sells and agrees to convey, and Purchaser hereby agrees to pay for, all and
singular, the rights and appurtenances pertaining to the property, including any right, title and
interest of Seller in and to adjacent streets, roads, alleys or rights-of-way, and including all rights
to all oil, gas and other minerals, together with any improvements, fixtures, and personal
property situated on and attached to the property (all of such real property, rights, and
appurtenances being hereinafter collectively referred to as the "Property"), for the consideration
and upon the terms and conditions hereinafter set forth.

ARTICLE II
PURCHASE PRICE
Amount of Purchase Price
2.01. The purchase price for the Property shall be ONE HUNDRED FIFTY
THOUSAND AND NO/100THS DOLLARS ($150,000.00) for the gross area as determined by
the survey as referenced in Section 3.03.
Payment of Purchase Price
2.02. The Purchase Price shall be payable per the following: Purchaser will pay all
cash at closing.
ARTICLE III
CONDITIONS TO CLOSING

3.01. The obligation of Purchaser hereunder to consummate the transaction
contemplated hereby is subject to the satisfaction of each of the following conditions (any of
which may be waived in whole or in part by Purchaser at or prior to the Closing).
Preliminary Title Commitment
3.02. Within twenty (20)business days after the Effective Date of this Contract, Seller,
at Seller's sole cost and expense, shall have caused Lawyers Title (D. Baron Cook, Escrow
Officer), 250 South Highway 78, Wylie, Texas 75098 (the "Title Company") to issue a
preliminary title commitment (the "Title Commitment"), accompanied by true, correct and
legible copies of all recorded documents relating to easements, rights-of-way, and any
instruments referred to in the Title Commitment as constituting exceptions or restrictions upon
the title of Seller(the"Title Documents").

Survey
3.03. Within twenty(20)business days after the execution of this Contract, Seller shall,
, obtain a current plat of survey ("Survey' of the Property,
prepared by a duly licensed Texas land surveyor. The Survey shall be in a form acceptable to the
Title Company in order to allow the Title Company to delete the survey exception (except as to
"shortages in area") from the Owner's Title Policy to be issued by the Title Company. The
Survey shall be staked on the ground, and the Survey shall show the location of all
improvements, highways, streets, roads, railroads, rivers, creeks, or other water courses, fences,
flood plain as defined by the Federal Insurance Administration, easements, and rights-of-way on
or adjacent to the Property and shall set forth the number of total gross square feet comprising
the Property.
Review Period
3.04. Purchaser shall have ten(10)days(the "Review Period") after Purchaser's receipt
of the later of the Survey,the Title Commitment and the Title Documents to review the same and
deliver in writing to Seller such objections as Purchaser may have to anything contained in them
(the "Objection Notice"). In the event Purchaser states that any of the Survey, Title
Commitment, Title Documents or any item therein contained, is not satisfactory,Purchaser may
either: (a) terminate this Contract and have the Escrow Deposit forthwith returned to Purchaser;
or (b) conditionally accept title subject to Seller's removal of any matters contained in 'such
Objection Notice within. ten (10) days from receipt of such Objection Notice (the "Title Cure
Period"), in which case Seller may elect, at its sole option, to use commercially reasonable
efforts to remove or insure over such objectionable matters, but shall have no duty or obligation
to remove or insure over any of such objectionable matters. If Seller cannot remove or insure

over such matters before the expiration of the Title Cure Period, or if Seller elects not to remove
or insure over any of Purchaser's objections, then at Purchaser's election within five (5) days
following the expiration of the Title Cure Period, Purchaser may terminate this Contract and
have the Escrow Deposit forthwith returned to Purchaser. Failure by Purchaser to terminate this
Contract on or before five (5) days after the expiration of the Title Cure Period shall be deemed
to be a waiver of all then uncured title objections which shall become Permitted Exceptions (as ?`
hereinafter defined). Purchaser hereby agrees that the lien for current taxes, and any items not
objected to timely by Purchaser shall hereinafter be deemed to be permitted exceptions (the
"Permitted Exceptions") and Purchaser shall not be entitled to object to the status of title, the
Survey or avoid the Closing on account of such Permitted Exceptions_
Feasibility Period -"-"
3.05. Purchaser shall have SIXTY (60) days from execution of the Contract by Seller
and acceptance of the same by the Title Company, within which to inspect the Property and
determine if the same is suitable for Purchaser's intended use (the "Feasibility Period"). In the
event Purchaser notifies Seller in writing on or before 5:00 p.m. on the last day of the Feasibility
Period that Purchaser disapproves or is dissatisfied in any way with the Property, such
determination to be made in Purchaser's sole and absolute discretion, then this Contract shall
terminate and the Escrow Deposit (as defined in Section 6.01 below) heretofore delivered by
Purchaser to Title Company shall be returned to Purchaser; provided however, that $100.00 of
the Escrow Deposit paid to Seller as Independent Consideration (as defined in Section 6.01
below) shall not be returned to Purchaser_ In the event Purchaser fails to so notify Seller in
writing prior to the expiration of the Feasibility Period of Purchaser's election to terminate this
Contract, this Contract shall continue in full force and effect. Seller hereby grants to Purchaser

during the Feasibility Period the right to enter upon the Property and conduct such tests as
Purchaser deems necessary; provided that Purchaser shall indemnify, defend, and hold
harmless Seller from all claims, actions or causes of action which might occur by virtue of
Purchaser's entry upon or testing of the Property and provided further that Purchaser
shall be responsible for all damages occasioned to the Property arising out of Purchaser's
entry upon or testing of the Property. These obligations will survive the Closing or the „-
cancellation or termination of this Agreement. Notwithstanding the delivery of the above
described studies and test, if any, Purchaser acknowledges that any information of any type
which Purchaser has received or may receive from Seller, or its agents, is furnished to Purchaser
as a courtesy only and on the express condition that Purchaser shall make an independent
verification of the accuracy of such information, all such information is being furnished without
any representation or warranty by Seller as to the truth, accuracy, or completeness of such
information.
Environmental Study
3.06. This Contract is contingent upon the Purchaser obtaining an environmental report,
at the expense of Purchaser, that indicates no environmental problems with the Property, and is
otherwise acceptable to the Purchaser. In the event an acceptable environmental report is not
obtained by the Purchaser as provided herein,the Purchaser shall have the right to terminate this
Contract prior to expiration of the Feasibility Period by written notice to the Seller and the
Escrow Deposit shall be returned by the Title Company to the Purchaser_ ''
ARTICLE IV
CLOSING

4.01. The closing of the purchase and sale of the Property ("Closing") shall be at the
offices of the Title Company, on or before thirty (30) days following the expiration of the
Feasibility Period of this Contract (the date of Closing being herein referred to as the "Closing
Date").
4.02. At the Closing, Seller shall:
(a) Deliver to Purchaser a duly executed and acknowledged Special Warranty
Deed conveying good and indefeasible title in fee simple to all of the Property,
free and clear of any and all liens, encumbrances, conditions, easements,
assessments,and restrictions, except for the following:
(1) General real estate taxes for the year of closing and subsequent
years not yet due and payable,as may or may not be applicable;
(2) The Permitted Exceptions; and
(3) Any other exceptions approved by Purchaser pursuant to this
Contract or in writing.

NOTICE REGARDING POSSIBLE LIABILITY FOR ADDITIONAL TAXES
If for the current ad valorem tax year the taxable value of the Property that is the subject of this
Contract is determined by a special appraisal method that allows for appraisal of the Property at
less than its market value, Purchaser may not be allowed to qualify the Property for that special

value_ In addition,the transfer of the Property or a subsequent change in the use of the Property
may result in the imposition of an additional tax plus interest as a penalty for the transfer or the
change in the use of the Property. The taxable value of the Property and the applicable method
of appraisal for the current tax year is public information and may be obtained from the tax
appraisal district established for the county in which the Property is located.
4.05. Each party shall pay any attorney's fees incurred by such party. All other costs
and expenses of closing the sale and purchase shall be borne and paid as provided in this
Contract, or if the Contract is silent, as is usual and customary for real estate transactions in
Collin County,Texas.
ARTICLE V
REAL ESTATE COMMISSIONS
5.01. In the event a broker commission is occasioned by the consummation of this
Contract,the party retaining such broker shall be responsible for all real estate commissions with
respect to that broker.
ARTICLE VI
ESCROW DEPOSIT
6.01. Within three (3) business days following the full execution of this Contract and
for the purpose of securing the performance of Purchaser under the terms and provisions of this
Contract, Purchaser shall deliver to the Title Company, a check in the amount of$5,000.00 as an
escrow deposit (the "Escrow Deposit") which shall apply toward the Purchase Price at Closing.
Purchaser agrees that $100.00 of the Escrow Deposit is given as consideration for the Contract
("Independent Consideration"), which Independent Consideration shall be applied to the
Purchase Price at Closing, but shall not be returned to Purchaser in the event the Escrow Deposit

is otherwise returned to Purchaser pursuant to the terms of this Contract. In the event Purchaser
fails to timely deliver the Escrow Deposit to the Title Company,this Contract shall automatically
terminate and be of no further force or effect and Seller shall be relieved from all liabilities or
obligations hereunder.
ARTICLE VII
CASUALTY
7.01_ All risks of loss to the Property shall remain upon Seller prior to the Closing,
subject to the provisions of Section 3.06 of this Contract. If a casualty occurs, Seller may, but
shall not be obligated to, restore the Property to its condition immediately prior to the casualty,
and if it does not so restore the Property,then Purchaser may accept the Property in its damaged
condition without reduction in the Purchase Price or terminate this Contract.
ARTICLE VIII
REPRESENTATIONS

8.01. As a material inducement to the Purchaser to execute and perform its obligations
under this Contract, the Seller hereby represents and warrants to the Purchaser as of the date of
execution of this Contract and through the date of the Closing as follows:
(a) Seller is the owner in fee simple of the Property subject to the Permitted
Exceptions. The Property is not subject to any lease or other agreement that creates a right of
ownership or possession to a third;
(b) To Seller's current actual knowledge, there are no actions, suits, or proceedings
(including condemnation) pending or threatened against the Property, at law or in equity or
before any federal, state, municipal, or other government agency or instrumentality, domestic or
foreign;

(c) The Property is not in a water district;
(d) To the current actual knowledge of Seller, no part of the Property has been used
for or as a landfill or toxic waste site or is in a wetlands protected area or FEMA flood plain as
currently defined by federal law;
(e) No consent or approval of any other person or entity is required in order for this
Contract to be legal, valid and binding upon Seller except for any lender consent that will be
obtained by Seller at or prior to Closing;
(f) The execution and delivery of this Contract and the consummation of this
transaction shall not constitute a violation,breach or default by Seller of any term or provision of
any other instrument of which Seller is a party or to which Seller or the Property may be subject
except that this transaction will require the consent of Seller's lender and a release of lien which
Seller will obtain at or prior to Closing;
(g) Seller is not the subject of any bankruptcy, reorganization or insolvency
proceeding.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, IT IS UNDERSTOOD AND AGREED
THAT SELLER IS NOT MAKING ANY WARRANTIES OR REPRESENTATIONS OF ANY
KIND OR CHARACTER, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROPERTY,
INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR REPRESENTATIONS AS TO
MATTERS OF TITLE (OTHER THAN SELLER'S WARRANTY OF TITLE SET FORTH IN
THE SPECIAL WARRANTY DEED TO BE DELIVERED AT CLOSING), ZONING, TAX
CONSEQUENCES, PHYSICAL OR ENVIRONMENTAL CONDITION, OPERATING
HISTORY OR PROJECTIONS, VALUATION, GOVERNMENTAL APPROVALS,
GOVERNMENTAL REGULATIONS OR ANY OTHER MATTER OR THING RELATING
TO OR AFFECTING THE PROPERTY. PURCHASER AGREES THAT WITH RESPECT TO
THE PROPERTY, PURCHASER HAS NOT RELIED UPON AND WILL NOT RELY UPON,
EITHER DIRECTLY OR INDIRECTLY, ANY REPRESENTATION OR WARRANTY OF
SELLER OR SELLER'S REPRESENTATIVES. PURCHASER WILL CONDUCT SUCH
INSPECTIONS AND INVESTIGATIONS OF THE PROPERTY, INCLUDING, BUT NOT
LIMITED TO, THE PHYSICAL AND ENVIRONMENTAL CONDITIONS THEREOF, AND
RELY UPON SAME, AND, UPON CLOSING, SHALL ASSUME THE RISK THAT
ADVERSE MATTERS,INCLUDING,BUT NOT LIMITED TO,ADVERSE PHYSICAL AND
ENVIRONMENTAL CONDITIONS, MAY NOT HAVE BEEN REVEALED BY

PURCHASER'S INSPECTIONS AND INVESTIGATIONS. PURCHASER AGREES TO
TAKE WHATEVER ACTION AND PERFORM WHATEVER INVESTIGATIONS AND
STUDIES PURCHASER DEEMS NECESSARY TO SATISFY ITSELF AS TO THE.
CONDITION OF THE PROPERTY AND THE EXISTENCE OR NONEXISTENCE OF, OR
CURATIVE ACTION TO BE TAKEN WITH RESPECT TO, ANY HAZARDOUS AND/OR
TOXIC SUBSTANCES ON OR DISCHARGED FROM THE PROPERTY. PURCHASER
ACKNOWLEDGES AND AGREES THAT UPON CLOSING SELLER SHALL SELL AND
CONVEY TO PURCHASER AND PURCHASER SHALL ACCEPT THE PROPERTY"AS IS,
WHERE IS", WITH ALL FAULTS AND THERE ARE NO ORAL OR WRITTEN
AGREEMENTS, WARRANTIES OR REPRESENTATIONS, COLLATERAL TO OR
AFFECTING THE PROPERTY BY SELLER OR ANY THIRD PARTY. FURTHER,
PURCHASER HEREBY ACKNOWLEDGES TO SELLER THAT PURCHASER AND ="
SELLER ARE NOT IN A SIGNIFICANTLY DISPARATE BARGAINING POSITION. THE
TERMS AND CONDITIONS OF THIS PARAGRAPH SHALL EXPRESSLY SURVIVE THE
CLOSING AND SHALL NOT BE MERGED THEREIN.
8.02 As a material inducement to the Seller to execute and perform its obligations

under this Contract, the Purchaser hereby represents and warrants to the Seller as of the date of
execution of this Contract and through the date of the Closing as follows:
(a) Purchaser is a corporation duly organised, validly existing and in good standing
under the laws of the State of Texas and has all the requisite power and authority to enter into,
deliver and perform this Contract;
(b) No consent or approval of any other person or entity is required in order for this
Contract to be legal, valid and binding upon Purchaser; and the execution and delivery of this
Contract and the consummation of this transaction shall not constitute a violation, breach or
default by Purchaser of any term or provision of any other instrument of which Purchaser is a
party or to which Purchaser may be subject;
(c) To Purchaser's current actual knowledge,there are no actions, suits, or proceedings
pending or threatened against the Purchaser, at law or in equity or before any federal, state,
municipal, or other government agency or instrumentality, domestic or foreign, and Purchaser
has received no written notice of same. The Purchaser is not involved in any bankruptcy,

reorganisation or insolvency proceeding.
ARTICLE IX
BREACH BY SELLER
9.01. In the event Seller shall fail to fully and timely perform any of its obligations
hereunder or shall fail to consummate the sale of the Property for any reason, except Purchaser's
default, or pursuant to a right of termination expressly granted hereunder, Purchaser may
terminate this Contract and obtain the return of the Escrow Deposit as liquidated damages or -
pursue specific performance, as its sole and exclusive remedies.
ARTICLE X .
BREACH BY PURCHASER
10.01. In the event Purchaser should fail to consummate the purchase of the Property,the
conditions to Purchaser's obligations set forth in this Contract having been satisfied, and
Purchaser being in default and Seller not being in default hereunder, Seller may either (i)
terminate this Contract and receive the Escrow Deposit as liquidated damages, or (ii) obtain
performance, as its sole and exclusive remedies.

ARTICLE XI
MISCELLANEOUS
Survival of Covenants
(a) Any of the representations, warranties, covenants and agreements of the parties,
as well as any rights and benefits of the parties, shall survive the Closing for a period of one (1)
year (or such longer period of time as may be expressly contemplated by this Contract in the
specific instance) and shall not be merged therein. '`

Notice
(b) Any notice required or permitted to be delivered hereunder shall be deemed
received when sent by United States mail, postage prepaid, certified mail, return receipt
requested, addressed to the Seller or the Purchaser, as the case may be, at the address set forth
herein above.
Texas Law to Apply
(c) This Contract shall be construed under and in accordance with the laws of the
State of Texas, and all obligations of the parties created hereunder are performable in Collin
County,Texas.

shall be bindingupon and inure tothe benefit of the parties hereto

Nondisclosure
(e) Neither party shall disclose to any person or entity (other than that party's
advisors or as may be required by law)the terms of this Agreement or the identity of the parties
and shall not issue any press or other informational releases without the express written consent
of each party.
Legal Construction
(f) In case any one or more of the provisions contained in this Contract shall for any
reason be held to be invalid, illegal, or unenforceable in any respect,such invalidity,illegality, or

unenforceability shall not affect any other provision hereof, and this Contract shall be construed

Integration
(g) This Contract constitutes the sole and only agreement of the parties hereto and
supersedes any prior understanding or written or oral agreements between the parties respecting
the within subject matter. This Contract cannot be modified or changed except by the written
consent of all of the parties.
Time of Essence
(h) Time is of the essence of this Contract.
Attorney's Fees
(i) Any party to this Contract which is the prevailing party in any legal proceeding
against any other party to this Contract brought under or with relation to this Contract or
transaction shall be additionally entitled to recover court costs and reasonable attorneys' fees
from the non-prevailing party.

Issue
Consider and act upon issues surrounding the demolition of improvements existing on WEDC
properties located at 398—400 State Highway 78 and 207—211 Industrial Court.
Analysis
In review, Exco and Mann Made have vacated buildings located at 398 and 400 S. State Highway
78. WEDC Tenants in six buildings located on Industrial Court have been given notice to vacate
no later than May 31, 2016. As well, staff has already contracted for the removal of all asbestos
related material which will be completed on or about March 31, 2016.
Staff developed a Request for Proposal (RFP) for demolition of all properties and delivered the
same to Midwest Wrecking Company, Intercon Demolition, and Precision Demolition. The RFP
requested that the bids be separated into a Phase I (Highway 78 properties) and Phase II
(Industrial Court Properties) with Phase I beginning as early as April 4th and Phase II beginning
on or about July 1st. Also within Phase I, bidders were asked to identify demolition costs
associated with the Exco site and an additional 39' strip of land to the north. This separate figure
was requested so as to identify demolition costs to be included within ongoing negotiations.
The bids were received and are as follows:

As shown, Intercon Demolition was the low bidder at $236,417 with $141,117 for Phase I and
$74,758 attributed to Exco plus 39'.

Staff believes that at a minimum the WEDC should take down the Exco building plus the 39'. A
discussion should also take place as to whether or not to take down the balance of the Mann
Made property at the same time.
Staff Recommendation
Staff recommends that the WEDC Board of Directors authorize the Executive Director to enter
into a contract with Intercon Demolition for the removal of improvements located at 398 - 400 S.
Highway 78 and 207 — 211 Industrial Court and further advise staff on the timing of demolition
for properties within Phase I and Phase II

The Wylie Economic Development Corporation (WEDC) is undertaking a multi-phased demolition of nine
(9) structures in Wylie totaling 50,870 square feet. The first phase could begin as early as April 4, 2016
with the second phase beginning on or about July 1, 2016. RFP's are requested to be returned no later
than 10:00 a.m.on March 14,2016 to WEDC offices located at 250 S. Highway 78,Wylie,Texas 75098.
The WEDC will be responsible for all environmental inspections and subsequent remediation. As well,all
properties will be vacant and free of equipment or materials. The contractor chosen will be required to
remove all improvements from the property including structures, fencing, foundations, parking
improvements, and private underground utilities. Further, the removal of all post-demolition debris will
be required in addition to grading of the site to a 'mow-ready'condition.

Bid totals should be quoted for Phase I and Phase II separately. Within Phase I in addition to a total bid
dollar amount,WEDC requests that the total be broken down to include all of the site identified by Exhibit
I in addition to an extra 39' to the northeast as depicted in Exhibit VII as attached. WEDC is requesting
information in this manner so as to segregate costs associated with this specific property. The company
awarded the bid will not be required to be bonded but will have to provide a current copy of Liability
Insurance with a minimum policy amount of$2,000,000. Finally,the WEDC reserves the right to extend
all deadlines and exclude any bidder for any reason.

of the S.D. Shelby Survey Abstract Number 820 and being part of that tract of land
described in deed to Collin County, Texas recorded under County Clerk's File Number
2001 -0100218, Deed Record of Collin County, Texas and being more particularly described

BEGINNING at a ,4 inch iron rod found for corner ot the easterly corner of Lot 5 of Railroad

• Two mobilizations and demobilizations to project site included in our proposal.Additional Mobilization is$3,950.00
• Pricing in this proposal based on a schedule of Monday—Friday working 50 hours per week. Weekend or Overtime
work would have additional costs associated.

Staff report: review issues surrounding Performance Agreements between the WEDC and:
Woodbridge Crossing, Ascend Custom Extrusions, CSD Woodbridge, Exco Tooling Solutions,
All State Fire, BRE Program, 605 Commerce, 106 N. Birmingham, ICSC 2016, The Retail
Coach, La Quinta Inn& Suites, sporting events, and regional housing starts.
Analysis
As a reminder to Board members, the Board may not discuss an item which is not specifically
identified on the agenda. Only those items listed above can be discussed. Should any Board
member want an issue be placed on the agenda at any time prior to a Board meeting,please contact

Woodbridge Crossing
Attached for the Board's review is the Sales Tax Reimbursement Report which identifies all sales
taxes received through February 2016 within Woodbridge Crossing for the City General Fund,the
WEDC,and the 4B. As a reminder,the City and WEDC reimbursed 85%of all sales tax generated
within Woodbridge Crossing through September 2013 with the reimbursement percentage reduced
to 65% thereafter. Due to the default under the Amended and Restated Performance Agreement,
Woodbridge Crossing is only eligible to receive up to $6 million in sales tax reimbursement
through September 2021 as opposed to the maximum reimbursement of $12 million originally
contemplated.
$3,416,841.73 in reimbursement has been earned through February 2016 with net receipts of
$2,613,335.63 after reimbursements. As well, it is estimated that $3.5 mm has been paid in ad
valorem taxes to the City of Wylie (excluding the WISD).
As shown on the Sales Tax Reimbursement Report, $198,375.98 was generated in sales tax in
December 2015 versus$186,038.17 in December 2014. This increase represents a 6.6%gain over
2014 receipts.

Ascend Performance Agreement
With the 2012 Performance Agreement completed, a second Performance Agreement executed in
December 2013 is the last commitment between the parties. Payment#3 of 4 is being considered
currently with the remaining Performance Obligations attached for your review.
CSD Woodbridge Performance Agreement
On July 15, 2013 a certificate of occupancy (CO) was issued for Kroger Marketplace. Beginning
October 1, 2013 and ending October 1, 2023, Clark Street Development is eligible to receive a '/2
cent sales tax reimbursement from the WEDC(City of Wylie is not part of sales tax reimbursement
agreement). Quarterly payments will be made to Clark Street based upon the data provided by the
Comptroller. In addition to the $100,000 reimbursement incentive paid by the WEDC at CO,
Clark Street is eligible to receive cumulative incentives of $1,100,000 over the life of the
Agreement.
Along with a summary of the Performance Agreement, a Sales Tax Reimbursement Report is
included for the Board's review.
Exco Tooling Solutions
Exco has completed construction of its 30,000 square foot facility within Premier Business Park
and received a final Certificate of Occupancy. With the CO issued, Incentive Payment No. 1 was
funded in the amount of$87,000. An additional $80,000 will be funded over the next four years
in payments of$20,000 each.
All State Fire Equipment
All State Fire Equipment(ASFE)received their final Certificate of Occupancy(CO) on March 9th
and is fully moved into their new facility on Century Way. Staff will begin processing Incentive
Payment #1 in the amount of$20,000 following receipt of documentation supporting a cost of
$788,000. Assuming ASFE remains in compliance with the Performance Agreement, an
additional $40,000 will be paid over the next two years.
BRE Program
A license was acquired from Salesforce to start building the custom database. WEDC Contacts
will be inputted into the system with staff beginning to start mapping fields and importing data in
the next couple weeks. The BRE component of the Database is still under construction. The target
launch date of April 30, 2016 is still in place assuming Mr. Greiner continues to work overtime.
605 Commerce
Attached for the Board's review is a spreadsheet tracking all activities with W&M Environmental
for FY 2014-15 and FY 2015-16. W&M has prepared Phase I&II reports for Mann Made,K&M,
Business Way, is processing the VCP application for the Commerce property, and processing the
Municipal Setting Designation through the City.

106 N. Birmingham
Staff had previously reported that Wylie Glass would be leasing 106 N. Birmingham. However,
Mr. Jones determined that it was in his best interest to find a more permanent home rather than
potentially having to move again if and when redevelopment of the Birmingham site takes place.
Staff is working with an alternate tenant and has hired an electrician to preform minor modification
required by the Building Department.
ICSC 2016
The International Council of Shopping Centers annual real estate conference(RECon)will be held
May 22 — 25, 2016. Tentatively scheduled to attend this event will be Mayor Hogue, Board
Members Wintters, Yeager,and Fuller,along with a new attendee Planning Director Renae' 011ie.
While Ms. 011ie is already a valuable economic development asset at City Hall,exposure to a trade
show geared specifically toward commercial/retail development can only enhance our ability to
interact with commercial/retail developers.
The Retail Coach
There has been significant activity generated by The Retail Coach (TRC) over the last several
weeks beginning with updating our target restaurant list in February. TRC has also updated the
Wylie daytime population data at the request of a well-known dining establishment which has a
serious interest in Wylie. TRC along with WEDC staff has already spent significant effort in
developing a strategy for RECON in May and is refreshing all marketing materials highlighting
restaurant pad sites in Wylie.
LaQuinta Inn &Suites
With a completion date set for August, underground utilities will be complete on or about March
25th and foundation poured by the end of March. Preselling of rooms begins in June with a VIP
opening one day prior to the official grand opening. Local officials and VIP guests will be
encouraged to stay overnight at the LaQuinta prior to the grand opening so as to provide a soft
opening and training for staff.
Sporting Events
Attached for the Board's review is the Promotional Activities Report which specifically details
attendees at Dallas Mavericks games.
Regional Housing Starts
Four homes were permitted in Wylie for February 2016. Sachse, Lavon, and Murphy permitted a
combined forty homes over the same period.
No action is requested by staff for this item.

Total reimbursements not to exceed $121,871, ONE HUNDRED-TWENTY ONE
THOUSAND, EIGHT HUNDRED AND SEVENTY-ONE DOLLARS.
Performance Obligations
A. A maximum Reimbursement Incentive of$49,871 will be paid to City of Wylie upon
completion of the following Performance Requirement for Incentive No. 1:
1. Issuance of a certification of occupancy for a 21,000 square foot expansion to the
Project; and
2. Documentation that the building permit associated with the Improvements has a
minimum cost of$1,000,000.00; and
3. Eligibility expiration for the Company to qualify for this Incentive No. 1 is
February 1, 2014.
B. A maximum Reimbursement Incentive of $24,000 will be paid to Company upon
completion of the following Performance Requirement for Incentive No. 2:
1. Documentation satisfactory to the WEDC of the installation and operation of a 3`d
extrusion press at the Project with a purchase price (plus installation cost) of not
less than $4,500,000.00; and
2. Eligibility for this Incentive No 2 begins twelve (12) months from the issuance of
the certificate of occupancy for the 21,000 square foot expansion and expiration
for the Company to qualify for this Incentive No. 2 is February 1, 2015.
C. A maximum Reimbursement Incentive of $24,000 will be paid to Company upon
completion of the following Performance Requirement for Incentive No. 3:
1. Documentation satisfactory to the WEDC of the installation and operation of a 3rd
extrusion press at the Project with a purchase price (plus installation cost) of not
less than$4,500,000.00; and
2. Eligibility expiration for the Company to qualify for this Incentive No. 3 is
February 1, 2016.
D. A maximum Reimbursement Incentive of $24,000 will be paid to Company upon
completion of the following Performance Requirement for Incentive No. 4:
1. Documentation satisfactory to the WEDC of the installation and operation of a 3rd
extrusion press at the Project with a purchase price (plus installation cost) of not
less than$4,500,000.00; and
2. Eligibility expiration for the Company to qualify for this Incentive No. 4 is
February 1, 2017.
For the purposed of this Agreement, the "payment date" of each Economic Incentive
shall be the date the Economic Incentive is actually paid, or the date the Economic
Incentive would have been paid if earned.

CSD Woodbridge, LLC Performance Obligations
Phase Ito be completed no later than: March 31, 2014.
The WEDC will provide a reimbursement to Company of$100,000 upon the issuance of
a final Certificate of Occupancy for a Kroger Marketplace with a minimum of 110,000
square feet of space. Additionally, WEDC shall provide a sales tax grant equal to 1/2
percent (.005) of the sales tax generated from the Woodbridge Centre from the Start Date
and ending on the day prior to the ten year anniversary of the Start Date. The
Reimbursement Incentives shall not exceed the cumulative sum of$1,100,000.
Sales Tax Reimbursement Start Date: Sixty (60) days after the City issues a final
Certificate of Occupancy for a Kroger Marketplace.
The payment of the sales tax grant Reimbursement Incentives shall take place on a
quarterly basis and shall be supported by a report provided by the State of Texas pursuant
to Tax Code Section 321.3022 or other statement in a form reasonably acceptable by the
WEDC setting for the collection of the sales and use taxes received by the City on behalf
of the WEDC relative to the Project
Phase 1. The Initial Phase shall include acquiring the Property by no later than July 31,
2012 and completing (as evidenced by final Certificates of Occupancy) no later than
March 31, 2014, a Kroger Market place of no less than 110,000 square feet.
Phase II. The Second Phase will bring the Project to a total of 120,600 square feet of
retail space and shall be completed (as evidenced by final Certificates of Occupancy) no
later than March 31, 2015.
Phase III. The Third Phase will bring the Project to a total of 127,600 square and shall be
completed (as evidenced by final Certificates of Occupancy) no later than March 31,
2017.
Phase IV. The Fourth Phase will bring the Project to a total of 134,200 square feet and
shall be completed (as evidenced by final Certificates of Occupancy) no later than March
31, 2019.
Company, at its cost, shall complete the Qualified Infrastructure by the Start Date,
Should CSD Woodbridge be in Default of Phase I requirements, none of the
Reimbursement Incentives shall be paid to the Company and this Agreement shall
terminate. In the event Company fails to meet Phase II — IV the Reimbursement
Incentives shall be reduced so that the maximum amount that may be earned under this
Agreement shall not exceed the cumulative sum of$550,000.

EXCO Extrusion Dies (Texas), Inc.
Summary of Performance Obligations
EXCO is purchasing from The WEDC 3.206 acres of property located on Hensley Dr.
EXCO will build a facility of not less than 30,000 sf of combined office and
manufacturing/assembly facility.
Incentives:
1. Note Forgiveness:
The WEDC will provide assistance to EXCO up to the amount of the purchase price
of the property ($350,000) in the form of forgiveness of Seller Note. Seller note will
be forgiven over a five (5) year period in the amount of $70,000.00 per year
beginning on the first Anniversary of Certificate of Occupancy.
2. First Incentive: $87,000.00 upon issuance of CO
3. Second Incentive: $80,000.00 —Paid Annually in 4 equal installments of$20,000.00
beginning 1 year from CO.
Performance Obligations to Qualify for Incentives:
a. Commence construction of a 30,000 sf facility conforming to all City of Wylie
Codes and Ordinances by March 1, 2015.
b. Maintain value of$7,550,000.00 for all real and personal property owned by the
Company. No Additional Economic Incentive shall be paid for that year if the
value falls below $5,550,000.00. For each $100,000 below $7,550,000.00 but
above $5,550,000,the Additional Incentive paid will be reduced by $1,500.00.
c. Maintain its Texas principal place of business on the property for 5 years.
d. Complete construction, and receive CO by January 31, 2016.
e. Employ 20 Full-Time Employees at this location for five (5) years
f. No event of default as evidenced by a Bankruptcy, conveyance of the property or
its interests in the property without the express written consent of WEDC and/or
nonpayment of property taxes.
